Cohera Terms of Service

Welcome to Cohera (“Cohera,” “we,” “our,” or “us”). Cohera is a secure, cloud-based communication and resource management platform designed to support mental health professionals and their clients. By accessing or using Cohera’s website, mobile app, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree with these Terms, do not access or use the Service.

1. US-Only Availability Clause

Geographic Availability: United States Only
The Services are intended solely for use by individuals located within the United States. Cohera does not offer, market, or make the Services available to individuals located outside the United States. By accessing or using the Services, you represent and warrant that you are physically located within the United States at the time of access and use. Individuals located outside the United States are not authorized to access or use the Services.

Cohera reserves the right to suspend or terminate access to the Services if it reasonably believes the Services are being accessed from outside the United States.

2. Eligibility and Account Responsibility

To use Cohera, you must be at least 18 years old and legally able to enter into binding contracts. Clinicians and organizations registering for Cohera are responsible for maintaining the confidentiality of their account credentials and for all activity under their accounts.

3. Description of Service

Cohera provides tools that allow licensed clinicians, coaches, and wellness professionals to share educational content, track non-clinical engagement, and facilitate client accountability and communication. Cohera is not an electronic health record (EHR) system and does not serve as a repository for clinical or medical documentation.

4. Prohibited Use – Clinical Data Storage

Clinicians must not upload, enter, or store any clinical notes, psychotherapy notes, diagnostic measures, or protected health information (PHI) as defined under HIPAA, within the Cohera platform. The Service is intended for educational and administrative communication only, such as:
• Sharing general wellness resources
• Assigning journaling or mindfulness prompts
• Tracking mood check-ins or engagement trends

Cohera assumes no responsibility or liability for the inadvertent storage of PHI, diagnostic data, or clinical documentation in violation of this policy. Accounts found to be misusing the platform may be suspended or terminated.

5. Data Security and Privacy

Cohera employs industry-standard security measures, including encrypted connections and secure AWS hosting. However, no system is completely secure. By using Cohera, you acknowledge that you are responsible for how you share and manage data within your account. Our Privacy Policy (available separately) explains how we collect, use, and protect non-clinical user information.

6. Subscription and Payment Terms

Use of Cohera requires an active subscription. Fees are billed on a recurring basis as outlined at checkout or in your subscription agreement. You may cancel your subscription at any time; however, fees are non-refundable once a billing cycle begins unless required by law.

7. Intellectual Property

All content, trademarks, software, and materials provided through the Service are the exclusive property of Cohera or its licensors. You are granted a limited, non-transferable license to access and use the Service in accordance with these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, Cohera and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. This includes, without limitation, damages resulting from unauthorized access, data loss, or interruption of service.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cohera, its officers, employees, and affiliates from any claims or liabilities arising out of your misuse of the Service, breach of these Terms, or violation of applicable laws or regulations.

10. Termination

We reserve the right to suspend or terminate access to the Service at our discretion, including for violations of these Terms or misuse of the platform. Upon termination, your right to access the Service ceases immediately.

11. Modifications

Cohera reserves the right to modify or update these Terms at any time. Material changes will be communicated through the platform or by email. Continued use of the Service after such changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed under the laws of the State of Florida, without regard to its conflict of laws principles.
