This Subscription Agreement (“Agreement”) governs paid access to the Cohera software platform (“Platform”) and is entered into between Cohera (“Company”) and the subscribing clinician, practice, or organization (“Subscriber”).
This Agreement is incorporated by reference into Cohera’s Terms of Service. In the event of a conflict, the Terms of Service govern.

1. SUBSCRIPTION PLANS & PRICING
---------------------------------
Cohera offers the following subscription tiers. Pricing is subject to change with notice in accordance with the Terms of Service.
INDIVIDUAL CLINICIAN
• $25 per month per clinician
• Intended for solo practitioners
• Includes clinician access and client invitations within reasonable use limits
SMALL PRACTICE
• 2–5 clinicians
• $22.50 per clinician per month
• Billed monthly based on number of licensed users
MID-SIZE PRACTICE
• 6–15 clinicians
• $21.25 per clinician per month (15% discount from individual rate)
• $20 per clinician per month (20% discount from individual rate)
ENTERPRISE / CUSTOM
• 16+ clinicians
• Custom pricing and terms
• Requires separate written agreement or order form

2. BILLING & PAYMENT

• Subscriptions are billed monthly unless otherwise specified in writing
• Fees are charged in advance for each billing period
• All fees are non-refundable except as required by law
• Subscriber is responsible for all applicable taxes
Failure to pay may result in suspension or termination of access.

3. USER MANAGEMENT

• Subscriber is responsible for managing licensed clinician seats
• Billing adjusts based on active clinician count per billing cycle
• Client access is governed by clinician invitations

4. PERMITTED USE
---------------------------------
The Platform may be used solely for lawful, clinician-directed purposes consistent with Cohera’s Terms of Service. The Platform is not an EHR and does not provide clinical services.

5. DATA & COMPLIANCE
---------------------------------
Cohera uses HIPAA-eligible infrastructure and applies industry-standard security safeguards. Subscriber remains responsible for appropriate use and regulatory compliance.

6. TERM & TERMINATION
---------------------------------
• This Agreement continues on a month-to-month basis unless terminated
• Subscriber may cancel at any time with effect at the end of the current billing period
• Cohera may suspend or terminate access for non-payment or violation of governing terms

7. MODIFICATIONS
---------------------------------
Cohera may modify subscription tiers or pricing with advance notice. Continued use constitutes acceptance.

8. LIMITATION OF LIABILITY

Liability is limited as set forth in the Terms of Service.
