This End User License Agreement (“EULA”) is a legally binding agreement between you (“End User,” “you”) and Cohera (“Company,” “we,” “us”). This EULA governs your access to and use of the Cohera software application, website, and related services (collectively, the “Software”).
This EULA is intended to comply with the requirements of the Apple App Store and Google Play Store. By downloading, installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.
1. License Grant
Cohera grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for its intended purposes and in accordance with this EULA and the Terms of Service.
This license does not transfer ownership of the Software or any intellectual property rights.
Apple and Google are not parties to this EULA and have no responsibility for the Software.
2. Permitted Use
You may use the Software only for lawful purposes and in accordance with this EULA, the Terms of Service, and applicable laws.
3. Prohibited Use
You may not:
• Copy, modify, distribute, sell, or lease any part of the Software
• Reverse engineer or attempt to extract source code
• Circumvent security features
• Use the Software in violation of law or professional standards
4. No Clinical, Medical, or Emergency Services
The Software is provided for support and engagement purposes only. Cohera does not provide medical, mental health, or therapeutic services.
The Software does not diagnose, treat, prevent, or cure any condition and is not an emergency service. In emergencies, contact 911 or local emergency services.
5. Privacy, Security, and HIPAA-Adjacent Use
Your use of the Software is subject to Cohera’s Privacy Policy.
Cohera uses Amazon Web Services (AWS), a HIPAA-eligible cloud infrastructure provider, to host and operate the Software pursuant to an executed Business Associate Addendum (BAA). Cohera does not independently guarantee HIPAA compliance. Responsibility for compliance rests with clinicians and organizations using the Software.
6. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
7. Intellectual Property
All rights, title, and interest in the Software are owned by Cohera or its licensors. You may not use Cohera trademarks without permission.
8. Updates and Modifications
Cohera may modify or discontinue features of the Software at any time without liability.
9. Termination
Cohera may suspend or terminate access for violations of this EULA or the Terms of Service. Upon termination, your license ends immediately.
10. Disclaimer of Warranties
The Software is provided “as is” and “as available,” without warranties of any kind.
11. Limitation of Liability
To the maximum extent permitted by law, Cohera shall not be liable for indirect, incidental, or consequential damages.
Apple and Google have no obligation to provide maintenance, support, or warranty services.
12. Governing Documents and Order of Precedence
This EULA operates in conjunction with and is subordinate to the Terms of Service, Privacy Policy, Subscription Agreement, and Child Safety & Protection Policy. In the event of a conflict, the Terms of Service govern.
13. Governing Law
This EULA is governed by the laws specified in the Terms of Service.
14. Third-Party Beneficiaries
Apple and Google are third-party beneficiaries of this EULA and may enforce it against you.
